These Terms of Use (“Terms”) apply to visitors or users of websites that McDermott International, Ltd. and its subsidiaries, business units, and affiliated companies (“McDermott,” “Company,” “we,” “our,” “us”) own and operate. Those who visit or use our sites on behalf of their employers hereby grant their employer’s acceptance of these Terms. We may provide other related or linked McDermott sites (collectively, “Websites” or “Sites”), including those that may be developed or maintained by third parties on our behalf, to allow you to access or obtain certain information, services, interfaces, applications, tools, and other functionality on or via this site (collectively, “Website Services”).

Ownership, License

Limitation of Liability

MCDERMOTT IS NOT RESPONSIBLE FOR ANY DAMAGES, INCLUDING:

DIRECT, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (SUCH AS BUSINESS INTERRUPTION, LOSS OF PROFITS, LOSS OF PROGRAMS, OR LOSS OF INFORMATION) ARISING FROM THE USE OR INABILITY TO USE THE MATERIALS ON ITS WEBSITES OR WEBSITE SERVICES, EVEN IF MCDERMOTT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  2. CLAIMS DUE TO ERRORS, OMISSIONS, INACCURACIES, OR HARMFUL PROPERTIES OF THE WEBSITE SERVICES.

MCDERMOTT’S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE USE OF THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID, IF ANY, FOR ACCESSING THE WEBSITES OR WEBSITE SERVICES.

SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO MCDERMOTT’S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

 

Indemnity

You agree to indemnify, hold harmless, and defend McDermott, its subsidiaries and affiliates, including its officers, directors, and employees, from and against any claim, demand, cause of action, debt, loss or liability, including reasonable attorneys' fees, to the extent that such action is based upon, arises out of, or relates to failure to comply with these Terms. McDermott reserves the right to use its own counsel.

 

Confidentiality and Privacy

Unless you are exercising your personal data privacy rights, please do not post to our Websites or otherwise send to us any confidential, proprietary, or sensitive personal information. Should you provide us with such information outside of a request to exercise your privacy rights, you grant us a royalty-free and non-exclusive license to display, use, copy, transmit, and broadcast the information you upload and publish.

McDermott does not, through its Websites or business activities, market or target its business services to children and therefore, we do not seek to gather any information from them, including personal data. Applicable Laws, Disputes

By using our Website Services, you agree that Texas law (excluding its conflicts-of-law rules) governs these Terms. Your use may also be subject to other local, state, national, and international laws.
You agree that any claim, dispute, or legal action related to your use of the Websites or Website Services will be exclusively handled by the courts of Texas. The venue will be the United States District Court for the Southern District of Texas or a similar Texas state court in Harris County. You consent to the personal jurisdiction of these courts for any such dispute, including claims involving McDermott or its affiliates, subsidiaries, employees, contractors, officers, directors, telecommunication providers, and content providers.
By accessing or using our Website Services, you waive any rights, including privacy rights, that conflict with federal or Texas laws.
